1. Acceptance of Terms

By accessing or using the Mesh Food Labs website at meshfoodlabs.com (“Site”) and any services provided by Mesh Food Labs LLC (“Mesh Food Labs,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Site or our services.

2. Services Overview

Mesh Food Labs provides food and beverage research & development services including, but not limited to, product discovery, formulation, reformulation, testing, sampling, commercialization, and ingredient sourcing. Specific project terms, deliverables, and pricing are defined in individual service agreements or proposals.

3. User Accounts

Certain features of the Site (such as the client portal) require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Intellectual Property

All content on the Site — including text, graphics, logos, images, and software — is the property of Mesh Food Labs or its licensors and is protected by applicable intellectual-property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

Intellectual-property ownership of project deliverables (formulations, reports, etc.) is governed by the applicable service agreement between Mesh Food Labs and the client.

5. Confidentiality

We treat all client project information as confidential. Specific confidentiality obligations are detailed in individual service agreements. You agree not to disclose any proprietary information about our processes, pricing structures, or internal tools obtained through the use of the Site or our services.

6. Payments & Billing

Payment terms for services are outlined in individual project proposals or agreements. Payments processed through the Site are handled by Stripe, our third-party payment processor. By making a payment, you agree to Stripe’s terms of service in addition to these Terms.

7. Limitation of Liability

To the maximum extent permitted by law, Mesh Food Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services. Our total liability for any claim shall not exceed the amount paid by you to Mesh Food Labs in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Site and services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Indemnification

You agree to indemnify and hold harmless Mesh Food Labs, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, violation of these Terms, or infringement of any third-party rights.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
